1. About these terms

The Center for Educational Innovation ("CEI," "we," "us," or "our") operates the-cei.org (the "Site"). These Terms of Service ("Terms") apply to all visitors, donors, school partners, and other users of the Site. By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site.

2. Who we are

CEI is a nonprofit organization that partners with school leaders, educators, families, and students to build high-performing schools in underserved communities. Our principal office is located at 369 Lexington Avenue, Suite 303, New York, NY 10017.

3. Use of the Site

You agree to use the Site only for lawful purposes. You agree not to:

• Interfere with or disrupt the Site or the servers and networks connected to it;
• Attempt to gain unauthorized access to any part of the Site, user accounts, or computer systems;
• Use the Site to transmit malware, spam, or any content that is unlawful, defamatory, or infringing;
• Collect or harvest personal information about other users of the Site;
• Misrepresent your identity or affiliation with any person or organization.

4. Intellectual property

All content on the Site — including text, photographs, videos, logos, graphics, and program materials — is owned by CEI or used with permission and is protected by United States and international copyright, trademark, and other intellectual property laws. You may view, download, and print pages from the Site for your personal, non-commercial use, or for educational purposes related to CEI's programs. Any other use, including reproduction, modification, distribution, or public display without our prior written consent, is prohibited. "Center for Educational Innovation" and "CEI," as well as program names such as Project BOOST®, are trademarks of CEI.

5. Donations

Contributions made through the Site are processed by our third-party payment provider on CEI's behalf. All donations are voluntary and, unless otherwise agreed in writing, are non-refundable. If you believe a donation was made in error, please contact us at info@the-cei.org and we will work with you in good faith. CEI is a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code; please consult your tax advisor regarding the deductibility of your contribution.

6. Third-party links and services

The Site may contain links to third-party websites and services — including donation processing, social media, and program partners. These are provided for your convenience. CEI does not control and is not responsible for the content, policies, or practices of any third-party site, and your use of them is at your own risk and subject to their terms.

7. Program information

Information about CEI's programs, partners, and outcomes is provided for general informational purposes. While we strive for accuracy, details such as program offerings, school partnerships, and events may change without notice. Content on this Site does not constitute a binding offer or contract.

8. Disclaimer of warranties

The Site is provided "as is" and "as available," without warranties of any kind, express or implied. CEI does not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any defect will be corrected. We may update these Terms from time to time. The "Last updated" date above shows when they were last revised. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any dispute arising from these Terms or your use of the Site shall be brought in the state or federal courts located in New York, New York.
